IV. Miscellaneous
a. I, the prospective SPI web site user ("User"), agree that the information set forth above is accurate and complete as of the date hereof, and I agree to promptly notify SPI of any material change in such information. I hereby consent to the disclosure of any such information, and any other information furnished to SPI, to any governmental authority, self-regulatory organization or, to the extent required by law, to any other person.
b. User agrees that any rights and interests in gaining access to the information posted in the SPI web site are not transferable or assignable. User further agrees that access to and use of the SPI web site and any information retrieved from the SPI web site is provided at the sole discretion of SPI and may be terminated with or without reason at anytime by SPI.
c. Upon receipt of a written request therefor from SPI, User shall provide such information and execute and deliver such documents as SPI may deem reasonably necessary to comply with any and all laws and ordinances to which SPI is or may be subject.
d. SPI does not warrant or insure that its web site will be free from errors, omissions, interruptions, delays, losses or defects, whether human or mechanical. SPI does not make any warranties, express or implied, of any kind whatsoever as to its web site, including, but not limited to, any warranties of merchantability or fitness for a particular purpose. In no event will SPI be liable for any indirect, consequential, special, exemplary or incidental damages relating to the adequacy, accuracy or completeness of any information on its web site or the use of any information retrieved from its web site.
e. User acknowledges that in order to make an investment in an investment fund managed by SPI, User will be required to comply with the fund's investment requirements. User understands that neither this agreement nor the SPI web site or any information or documents obtained therefrom constitutes an offer to sell or solicitation of an offer to purchase an interest in any investment fund managed by SPI or for the provision of any investment management or advisory services.
f. User agrees to provide such further information as SPI may reasonably require.
g. For purposes of this Agreement, SPI shall include Summit Private Investments, Inc., Karp Advisors, LLC and any affiliates.
h. This Agreement shall be governed by, and construed in accordance with, the laws of the State of New Jersey.
i. User acknowledges and agrees that should SPI grant use of the password-protected portion of the SPI web site, User may not invest or purchase an interest in funds contained therein for at least 30 days after the receipt of the password.
